This year's Governance and Transparency Index captures how firms are dealing with stricter disclosure and best practice guidelinesWITH key changes in the corporate governance regulatory framework introduced in 2012, the bar has been raised for Singapore-listed companies.自存倉 SGX (Singapore Exchange) listings rules were updated in 2011, the Code of Corporate Governance came into effect in 2012, and the implementation of the revised Companies Act is expected later this year. This climate of change has driven Singapore-listed companies to move forward in meeting more stringent disclosure and corporate governance best practice guidelines, as captured by this year's Governance and Transparency Index (GTI).The GTI, which assesses Singapore-listed companies on their corporate governance and disclosure practices, is in its fifth year. The ranking is the result of a tripartite collaboration between NUS Business School's Centre for Governance, Institutions and Organisations (CGIO), CPA Australia, which also sponsors the annual study, and The Business Times. It is supported by the Investment Management Association of Singapore, Singapore Business Federation and Singapore Accountancy Commission.GTI 2013 assessed 664 Singapore-listed companies on their 2012 financial year annual reports, which were released no later than May 31, 2013, as well as their announcements on SGXNet and other publicly available information. A hundred and twelve listed equities were excluded from GTI 2013 - real estate investment trusts, business trusts, exchange traded funds, secondary listings, suspended companies, delisted companies as well as newly-listed companies that did not have full year's financial reports.GTI 2013 key trendsMarked improvements have been observed in this year's scores. The top score for GTI 2013 is 113 points, a big leap from the 94 points recorded in the inaugural GTI in 2009.Over five years, the average score has increased to 38.0 points (GTI 2013) from 33.9 points (GTI 2009).The top 5 per cent of the GTI 2013 companies (34 companies) scored between 70 and 113 points, followed by the majority of the companies (29.4 per cent, 195 companies) which got 40 to 69 points.Another 250 companies (37.7 per cent) had scores hovering around the average of between 30 and 39 points.The remaining 27.9 per cent of (185) companies that scored between -4 and 29 points need to improve on their corporate governance and disclosure practices to catch up with the rest.These observations are largely in line with the reforms in Singapore's corporate governance regulatory environment. They reflect Singapore-listed companies' efforts to adapt to, and in some cases, to embrace the increasingly rigorous compliance and disclosure framework.Board and remuneration mattersThe Code of Corporate Governance 2012, which took effect from Nov 1, 2012, requires Singapore-listed companies to focus on improving and refining board matters, remuneration practices and disclosures, risk management, as well as shareholder rights and roles. Companies are expected to progressively comply with the new code, except for board independence, which has been granted a five-year transition period.GTI 2013 aims to provide insights into remuneration and board matters in the current corporate governance landscape. To facilitate the transition into the new regime, companies can focus their attention in tackling the four "I"s - Independence, Involvement, Induction and Incentive.IndependenceThe new code requires companies to adopt a more stringent and comprehensive process when assessing the independence of their board of directors.Firstly, the new code requires the board to be led by an independent chairman with at least one-third of the board independent. Failing which, the board is required to appoint a lead independent director (ID).Besides the appointment of a lead ID, companies without an independent chairman are further required to have at least 50 per cent board independence by 2017.GTI 2013 data shows that only 98 companies (14.8 per cent) are led by an independent chairman. Of the 566 companies without an independent chairman, only 120 (18.1 per cent) appointed a lead ID and have at least 50 per cent board independence.Secondly, while the new code requires companies to make disclosures on the independence of directors from major shareholders and to review the independence of IDs who have served more than nine years, we迷你倉新蒲崗found that only 85 companies (12.8 per cent) disclosed that their independent directors were also independent from substantial shareholders.In terms of the independence of IDs with tenure greater than nine years, we found 247 companies (37.2 per cent) with at least one ID who has served for more than nine years. Further analysis of our sample of 664 companies found that there were 493 IDs with tenure of more than nine years.InvolvementBusy directors and limits on multiple directorships have been a much debated topic in Singapore. To ensure that directors have the time and energy to serve effectively on each board, shareholders have urged regulators to set a limit on the number of board seats an individual may hold. Some studies have shown that busy directors correlate with lower shareholder returns while others have argued that a busy director with a good track record, expertise and personal network bring benefits to a board.The new Code does not specify the limit on the number of directorships a director can hold but instead encourages the Nominating Committee (NC) to set a limit on the number of directorships that an individual director can hold.The GTI defines a busy independent director as i) one who has more than four directorships on boards of listed companies while holding a full-time position or ii) having six directorships when not holding a full-time position.Using this approach, we found a number of directors serving on more than four Singapore-listed companies' boards - 42 directors hold four directorships, 30 directors hold five directorships, 13 directors hold six directorships and 11 directors hold more than six directorships in various listed companies here. At the company level, 69 companies have two or more busy directors on their board.InductionUnder the new code, the NC of each company is responsible for providing incoming directors, especially first time directors, with induction training. This is an area with much room for improvement as only 52 companies (7.8 per cent) in GTI 2013 disclosed details of their director's training.By extension, the NC should include succession planning for the board chairman and chief executive officer (CEO) positions in their terms of reference. We found that only 20 companies (3.0 per cent) disclosed such information.IncentiveThere has been much discussion in the media on the need for greater transparency and accountability in the remuneration of key executives. This need for more disclosure is also reflected in the new code, which encourages firms to state the top five executives' exact remuneration and incentives packages together with their names. GTI 2013 data shows that only 14 companies (2.1 per cent) have made such disclosures.Many companies have chosen to disclose executive remunerations in "bands", or ranges. The commonly cited reason for this practice is the fear of executive poaching, competitive markets or confidentiality issues. The majority of companies (522 companies, 78.6 per cent) disclosed their top five executives' pay in bands of S$250,000; others made disclosures in bands ranging between S$250,000 and S$100,000 (18 companies, 2.7 per cent) or within S$100,000 (10 companies, 1.5 per cent).In addition, some 28.5 percent (189) of companies did not disclose the names of their top five executives with their remuneration, while 3.9 per cent (26 companies) did not disclose an upper limit for the remuneration of their top five executives.Taking into account the new Code requirements, there is indeed room for improvement in this area of disclosure practices.Preparing for the new regimeThe GTI has kept track of Singapore-listed companies' progress in corporate governance and disclosure standards. Results so far show that much work is required on the disclosures of (1) board independence, (2) independence from major shareholders, (3) independence of directors with tenure greater than nine years, (4) limits on number of directorships an individual director can hold, (5) details of directors' training, (6) succession planning, (7) executive remuneration.It is clear that corporate Singapore needs more independent directors and comprehensive disclosure practices in the new regime.Dr Lawrence Loh is associate professor of strategy and policy at NUS Business School and Dr Isabel Sim is senior research fellow at the Centre for Governance, Institutions and Organisations (CGIO) of NUS Business School迷你倉出租

It happens often in settling such cases.But the insistence that their two minor children, then ages 7 and 10, are also bound by the "gag order" is.Several independent legal scholars and attorneys involved in the Hallowich side of the case say they know of no other settlement agreements that gag the children of parents involved in legal settlements, and questioned whether such an agreement is enforceable.Jessie Allen, an assistant professor of law at the University of Pittsburgh who teaches civil procedure, legal ethics and civil rights, said that while confidentiality agreements are common, involving children is not."It's right to react to this as strange and the lawyers involved reflect that when they say they've never seen that," Ms. Allen said. "My reaction is it's kind of over the top."The rare prohibition against the Hallowichs and their children speaking about anything related to Marcellus Shale development was discussed at length in a new Washington County Common Pleas Court transcript of an August 2011 settlement hearing from which reporters for the Pittsburgh Post-Gazette were barred and during which case records were sealed.As part of its efforts to unseal all of the Hallowich case records, the Post-Gazette recently requested a transcript of that closed-door hearing, and Washington County Court President Judge Debbie O'Dell Seneca granted that request. The hearing transcript was filed with the county's prothonotary Wednesday.In addition to the concerns about the confidentiality agreement, the transcript shows the case records should have included a copy of the confidential settlement agreement, which was not among more than 900 pages of case documents that were ordered unsealed in March by Judge O'Dell Seneca.According to the 16-page transcript, then-Washington County Judge Paul Pozonsky approved sealing the court records with the settlement agreement "attached thereto" in the private hearing held to settle the claims of the Hallowichs against Range Resources, Williams Gas/Laurel Mountain Midstream and MarkWest Energy."This shows clearly the settlement agreement was part of the record," said Frederick Frank, an attorney representing the Post-Gazette.The Hallowichs, who had been longtime critics of shale gas drilling, claimed that Marcellus Shale gas development -- including four wells, gas compressor stations and a 3-acre water impoundment -- adjacent to their 10-acre farm in Mount Pleasant, Washington County, damaged their property value and their health, including that of their 7-year-old daughter and 10-year-old son. They said air and water contaminants caused them to experience burning eyes, sore throats, headaches and earaches, and contaminated their water supply.The hearing transcript, which provides details of the $750,000 settlement paid to the family, shows the Hallowichs agreed to the terms of the settlement to remove their children from what they considered an unhealthy environment.They also raised questions about the lifetime "gag order" that r儲存倉quired the entire family to never discuss Marcellus Shale or fracking.According to the transcript, the Hallowichs' attorney, Peter Villari, said that in 30 years of practicing law he never had seen a nondisclosure agreement that included minor children.And, although he advised the Hallowichs to accept the settlement, he questioned if the children's First Amendment rights could be restricted by such an agreement.Judge Pozonsky, who has since resigned, responded that he wasn't sure, adding, "That's a law school question, I guess."James Swetz, the attorney representing Range Resources at the settlement hearing, then is quoted as saying: "I guess our position is it does apply to the whole family. We would certainly enforce it."Harry Flechtner, a Pitt law professor, said Wednesday that enforcing such an agreement against minors raises questions."They are children and can't be bound by such an agreement, a contract, but the wild card is the court approval of the agreement," he said.Matt Pitzarella, a Range Resources spokesman, said Wednesday that the comments by Mr. Swetz are "not something we agree with" and added "we don't believe the [Hallowich] settlement applies to children." He also said that Range has entered into no other nondisclosure agreements that bar children from speaking.Mr. Swetz could not be reached for comment.But Mr. Villari said Wednesday that Mr. Swetz told the court he "had the full authority to speak on his client's behalf," and all of the defendant shale gas development companies insisted that the Hallowich non-disclosure agreement "extended to the minor children," and are "still insisting on the full extent of those obligations.""It's news to me that they say they are now releasing the children," he said, "but I'd appreciate it if they'd put that in writing. It would be very nice to do that."Mr. Pitzarella emphasized the company's denial that its drilling operations caused any harm to the health of the Hallowichs."All of the reports done at the time indicated no exposure [from the gas development] and they never produced evidence of any health impacts," Mr. Pitzarella said. "We did say that clearly the Hallowichs were not in an ideal situation in terms of their lifestyle. They had an unusual amount of activity around them. We didn't want them in that situation."He noted that as part of the settlement agreement, they willingly signed a document that stated the family's health was not affected by the gas operations.Mr. Villari said that the settlement "would not have gone forward" if the Hallowichs refused to sign the document."The defendants required certain language. 台鐵同一車種不分時段都是「不二價」,迷你倉庫但速度、停靠站數、車齡及服務品質落差極大,尖峰時段一票難求,離峰時段車廂空蕩蕩。台鐵重新檢討票價結構及公式,研議離峰、早鳥的優惠票價,年底前提出調整方案;最快明年上半年將費率方案提報行政院。台鐵推動都會區捷運化,新購入普悠瑪號、EMU八百型電聯車,台鐵副局長鹿潔身說,台鐵旅運量去年成長百分之七,現在每日旅客量達六十二萬人次,通勤族約占七成。然而台鐵票價缺乏彈性加上面臨高鐵、國道客運等多樣替代運具的衝擊,台鐵打算重新檢討票價機制。因未來列車種類簡化,以高級列車、普通列車兩大類為主,以此訂定票價基礎,推出尖離峰差儲存費率,並比照高鐵發售早鳥票;至於不賣站票的太魯閣、普悠瑪號,與一般自強號票價也會有所區隔。逢甲大學運輸科技與管理學系副教授李克聰說,實施差別費率能發揮移峰填谷、分流旅客的效果。台鐵應統計尖離峰班次客座利用率,進行旅客問卷調查,讓這次訂出的新費率「有感」,票價價差大到足以吸引不趕時間的旅客轉往離峰時段搭乘。而老舊票務系統也要更新,設計靈活簡潔的介面,以免因票價複雜惹民怨。鐵道文化研究者古庭維說,台鐵票價「凍漲」十八年,民生物價漲翻天,再凍漲不合理,應藉票價檢討之際,提出一套漲價公式,說服大眾認同漲價;否則民眾又要票價便宜,又要服務品質好,根本不可能。新蒲崗迷你倉

【本報港聞部報道】將軍澳仁濟醫院王華湘中學向日前倒閉的「亞洲國際旅運」進行民事索償,新蒲崗迷你倉指旅行社未能協辦一個英國遊學團,要求全數退回51.43萬元的團費。有受影響的家長引述校方指出,旅行社一直拖延處理退款, 至今只能從校方退回8,000元,佔團費約三分之一。協助家長的民建聯立法會議員葛珮帆(圖)和旅遊事務專員容偉雄會面後表示,警方已介入調查有否欺詐成分,又指當局會酌情接受校方申請旅遊業賠償基金,取回九成mini storage費,但由於事件已進入司法程序,要待法庭有裁決後才可處理。這名家長指出,家長們已向教育局及旅遊業議會求助,但兩者均指事件已進入司法程序,以及涉及商業糾紛,未能提供協助,令她感到無助。遊學團團費未退回專辦遊學團的亞洲國際旅運日前突然倒閉,沙田林大輝中學兩個遊學團及將軍澳仁濟醫院王華湘中學一個遊學團受影響,分別涉款逾100萬及52萬元,兩校先後報警。開業六年多的亞洲國際旅運有限公司,位於尖沙咀百利商業中心。self storage

雪花中國古建築攝影展現場 俄方代表的現場講解在俄羅斯展出的雪花純生古建築攝影大賽作品——榮潔《故宮晨曦》近日,存倉應俄羅斯的官方邀請,211幅雪花純生中國古建築攝影大賽的作品跟隨清華大學建築學院遠赴俄羅斯,在“莫斯科中國建築日”的“中國建築瑰寶展”中驚豔亮相。備受俄方各界高度關注和肯定的是,雪花純生的古建築攝影大賽作品,與俄羅斯頂級學府所碰撞出的中西方建築文化火花,也是中國古建築首次以最直觀的方式,走出國門在世界舞台上展現其獨特的文化魅力。雪花古建築攝影展打動莫斯科“莫斯科中國建築日”是中俄文化交流背景下的“中國旅遊年”國家活動之一,作為其重要的組成部分,本次“中國建築瑰寶展”由俄羅斯建築科學院、莫斯科建築學院與華潤雪花啤酒、中國清華大學建築學院共同籌辦,雙方在古建築方面展開國際文化交流與合作,意義重大。“雪花·純生中國古建築”攝影展是“中國建築瑰寶展”的一大亮點。此次參展的211幅作品,是從“雪花純生·中國古建築攝影大賽” 舉辦5年來的二百多萬幅古建攝影作品中精心挑選而出,囊括了“宮廷”、“民居”、“民俗”、“公園”等多個主題,涵蓋中國90多個地區,為俄羅斯觀�提供了一場視覺的饕餮盛宴,也吸引了絡繹不絕的參觀人群。現場觀�安德烈表示,中國的經濟發展令全世界矚目,俄羅斯人對中國的印象大多是“世界工廠”,是一個迅速崛起的經濟巨人。而本次古建築攝影展,他看到了自存倉人嘆為觀止的中國古建築和現代建築、亞洲的鮮豔色彩、多民族中國的群像,使他從一個新的視角瞭解了中國。在他面前所展現的,是一個從未見過的中國,是更具有獨特性、更有活力的中國,“這是一個全新的國家形象”。中國古建文化普及贏得尊重“非常感謝你們,給我這麼好的機會,看到中國,認識中國。這個展覽對我們來說也非常的重要,因為建築代表一個民族的心,一個民族的精神和靈魂,這樣我們才能更好地認識中國。”莫斯科建築與城市規劃歷史與理論研究院院長邦達連科·伊戈爾教授激動地表示。對於雪花啤酒與清華建築大學建築學院在古建築方面保持著長期的密切合作,伊戈爾教授還認為,從此次攝影展可以看到中國的發展,中國人民族意識和自信心的增強。一個企業具備如此雄厚的實力去推進這項工作,具備如此高的社會責任感和使命感去堅持這項工作,並且取得了如此好的效果,讓人尊重。據瞭解,“雪花純生·中國古建築攝影大賽”作為一項普及與傳承中國古建築文化的活動,迄今已連續舉辦五屆。它由華潤雪花啤酒主辦,是華潤雪花與清華大學合作的“普及與傳承中國古建築”文化公益項目的重要內容,除此之外,還編撰出版了《民居五書》、《古都五書》等古建築系列叢書,並歷時三年拍攝了《中國古建築》大型紀錄片。此次雪花古建築攝影作品走出國門,登上世界舞台,不僅是中華民族瑰寶的文化交流與輸出,同時也向世界展示了經由千百年傳統文化積澱的中國形象。(劉佳)迷你倉新蒲崗

發展局局長陳茂波日前在網誌表示,迷你倉庫需要檢討保育私人擁有歷史建築的政策,但有從事古蹟復修的業界,炮轟當局保育古蹟短視,工程投標價低者得,他們被迫將貨就價,已復修的古蹟「金玉其外」。 在建築界任職多年的林先生(假名),對古蹟復修有一定認識,因而專注古蹟復修投標。林曾參與殖民地政府的投標,當時大部份中標價多處中游位置,他認為,當時處理古蹟復修部門的專家,對物料價格、成本及儲存潤等數據了解,認為只有中游價格的公司,才能提供符合投價的工程。 專業知識不及前朝 不過,近年港人注重保育古蹟文物,當局亦加快復修工程的投標,惟中標者不乏價低者得。林表示,現時的專家對相關數據的認識,不及前朝,忽略低價中標的不合理。 林認為,當局視保育古蹟為政績工程,只問成效,不惜犧牲中國傳統文化,慨嘆古蹟保育是體現人文智慧的藝術,而非毫無人氣的工程。新報記者 新蒲崗迷你倉

  深圳邊檢最近針對同日多次過境人士,迷你倉出租推亮燈系統以檢查他們行李,至今每日平均有150宗個案,60宗為水貨客。有議員昨到羅湖視察,認為措施若能通過黃金周壓力測驗,香港可仿效。  民建聯成員昨到羅湖邊境視察系統,約45分鐘內未發現有亮起綠燈情況,通關快捷暢通。據內地邊檢部門數據,平均每天150宗亮燈個案中,每十名香港人,有一名內地人,其中60宗為水貨客。  民建聯立法會議員陳克勤表示,措施方便內地邊檢及海關部門溝通及執法,限制過境次數,亦有效打擊水貨活動。成員又發現,貨品扣留中心種類及數量均減少,只有香煙及電子產品外殼,未見奶粉類貨品。  陳克勤又指,近來水貨活動有少數族裔人士參與,貨品種類增加,如即食麵及尿片,分貨儲存倉點亦由火車站轉至北區其他地方,可見水貨客招數層出不窮,認為兩地執法部門不應因問題有緩和而放鬆。  對於限奶令應否撤回,他認為限奶令初步有成效,但社會仍有聲音要求繼續進行,而限奶令及亮燈措施均要通過十一黃金周壓力測試,才可再作檢討。若內地亮燈計劃有不俗表現,香港部門可仿效。屯門新商場開幕 憂成北區翻版  此外,港鐵屯門站今日有大型商場開幕,有巴士公司配合加開新�往返深圳灣口岸及屯門站。環保觸覺指,今年內地旅客較去年同期增長近20%,擔心新商場會吸引更多自由行旅客,加重影響該區居民生活,建議取消深圳戶藉居民一簽多行。  立法會議員郭家麒指,受新開幕商場影響,連帶附近商店加租三成,擔心會拉高該區物價,使屯門成為北區翻版。迷你倉沙田
